Terms of Service

Effective date: January 1, 2025

These Terms of Service ("Terms") govern your use of the AIgileCoach platform and services ("Service") operated by Gruion ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

AIgileCoach is an AI-powered agile coaching platform that connects to your Jira instance to provide project analytics, sprint ceremony tools, PI planning, compliance scoring, RACI matrices, and AI-assisted coaching recommendations. The Service is available as a managed SaaS offering and as a self-hosted open-source edition.

2. Account Terms

2.1 Registration

To use the managed SaaS version, you must create an account by providing your organization name, your name, a valid email address, and a secure password. You represent that all registration information is accurate and current.

2.2 Account Responsibility

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at contact@aigilecoach.io if you become aware of any unauthorized access.

2.3 Account Security

We encrypt all sensitive credentials (Jira API tokens, AI provider keys) using AES-256-GCM at rest. Passwords are hashed using bcrypt. You are responsible for choosing a strong password and keeping it confidential.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to reverse engineer, decompile, or disassemble any portion of the Service (except as permitted by the open-source license for the open-source edition)
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Use automated tools to scrape or extract data from the Service beyond approved API access
• Share your account credentials with unauthorized parties
• Use the Service to store or transmit malicious code
• Exceed the rate limits established for your plan tier

4. Plans and Payment

4.1 Plans

The Service is available under the following plans:

• Open Source (Free): Self-hosted, community-supported, unlimited users and teams
• Team ($29/month): Managed SaaS with up to 10 users, 3 Jira server connections, AI integration, and email support
• Enterprise ($149/month): Unlimited users and servers, SSO/SAML, audit log, on-premise deployment option, and priority support

4.2 Billing

Paid plans are billed monthly or annually via Stripe. Your subscription begins on the date you sign up for a paid plan. Payment is due at the start of each billing cycle. All fees are stated in US Dollars and are non-refundable except as described below.

4.3 Free Trials

Paid plans may include a free trial period (14 days for Team, 30 days for Enterprise). You will not be charged during the trial period. If you do not cancel before the trial ends, your paid subscription will begin automatically.

4.4 Refunds

If you are unsatisfied with the Service, you may request a refund within 14 days of your first paid charge. Refund requests should be sent to contact@aigilecoach.io. Refunds are issued at our sole discretion for charges beyond the initial 14-day period.

4.5 Plan Changes

You may upgrade or downgrade your plan at any time through the billing settings in your dashboard. Upgrades take effect immediately; downgrades take effect at the end of the current billing period.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

Key data principles:

• We store only the credentials and configuration necessary to provide the Service (Jira connection details, team configurations, user accounts)
• We do not store your Jira issue data on our servers — project data is fetched in real-time from your Jira instance and never persisted
• All sensitive credentials are encrypted at rest using AES-256-GCM
• For on-premise deployments, no data leaves your network

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, and proprietary SaaS components, is owned by Gruion and protected by applicable intellectual property laws. The AIgileCoach name, logo, and branding are trademarks of Gruion.

6.2 Open-Source Components

The open-source edition of AIgileCoach is licensed separately under its applicable open-source license. These Terms govern the managed SaaS service and any proprietary features not included in the open-source edition.

6.3 Your Data

You retain all rights to the data you provide to the Service. We do not claim ownership over your Jira data, team configurations, or any content you create using the Service.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• In no event shall Gruion be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill
• Our total aggregate liability for all claims arising from the Service shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim

8. Termination

8.1 By You

You may cancel your account at any time through the billing settings in your dashboard or by contacting us at contact@aigilecoach.io. Upon cancellation, your access to paid features will continue until the end of the current billing period.

8.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use of the Service poses a security risk. We will provide reasonable notice where practicable.

8.3 Data After Termination

Upon termination, we will retain your data for 30 days to allow for export. After 30 days, your data will be permanently deleted from our systems. You may request an immediate data export or deletion at any time.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the European Union and the applicable member state where Gruion is established. Any disputes shall be resolved in the competent courts of that jurisdiction.
